Manages the platform where transactions occur. They are the entity operating the platform, which can be a website and/or mobile app you use, which has integrated AggloPay Solution for processing payments.

Payer

Individuals making payments to you through the AggloPay on the platform.

Platform

In our context, "you" or "your" refers to any individual subscribing to the Partner's services through its platform and utilizing the AggloPay for receiving payments related to their engagements on the platform. AggloPay is exclusively intended for facilitating your transactions conducted on the Partner’s Platform.

Acceptance of Terms

Your use of the Website constitutes Your full acceptance of these Terms. AggloPay reserves the sole right to adjust or substitute these Terms at any time without prior notice. It is Your duty to reread these Terms periodically for any changes. Your continued use of the Website after changes are posted constitutes acceptance of those changes.

Age Restriction

AggloPay's services are intended solely for individuals who are at least 18 years old. By accessing and or making use of our Website, You confirm that You are at least 18 years of age.

Intellectual Property Rights

All materials, content, software, and information provided on the Website are the intellectual property of AggloPay or its licensors. Any Illegal Activity

Engaging in any activity using the Website that is unlawful, prohibited, or goes against the stipulations outlined in these Terms.Any violation of these prohibited actions may result in the immediate termination of Your access to the Website and may lead to legal actions as deemed appropriate by AggloPay.

Disclaimer Of Warranties

The Website is offered "as is" and "as available," without any expressed or implied warranties. AggloPay does not provide any assurances or guarantees regarding the Website, encompassing its accuracy, reliability, or accessibility.

Limitation of Liability

Under no circumstances shall AggloPay, its officers, employees, directors, or agents be held liable for any incidental, special, indirect, consequential, or punitive damages that occur from or are related to your use or inability to use the Website, or any information or services provided therein. Our liability is confined to the provision of AggloPay's services. We do not interfere in any legal or commercial relationships or disputes between you and our partners, payers, or any other users of the platform. AggloPay does not exert control over the compliance or attributes of the products and services for which payments are processed. We are extraneous to any contract between you and a payer or our partner. Therefore, we cannot be held responsible for any non-performance, improper execution of obligations, fault, misconduct, or negligence of any payer or partner towards you. Your partner holds sole responsibility for the security of your platform. If there are any disputes regarding the use of their platform, you must contact the partner directly. AggloPay is solely accountable for the security of the AggloPay. In all instances, our liability is limited to compensating direct damages related to our breach of obligations outlined in these Terms and Conditions, except where such limitation is prohibited by applicable law.

Inactivity

Your AggloPay Account will be classified as inactive if no transactions have been recorded within a period of two (2) years, excluding administrative management fees. Upon notification of inactivity, if your AggloPay Account holds a positive balance and there's no demonstration of your intent to continue using AggloPay Services, you will need to transfer the funds to an External Account under your ownership to facilitate the closure of your AggloPay Account. If possible, any remaining funds will be automatically transferred to your External Account. In circumstances where the disbursement of funds becomes unfeasible, we shall diligently administer your assets, albeit reserving the right to levy an administrative management fee annually.

Death

In the event of a user's demise, AggloPay Services will cease. Payments to the External Account will be restricted until instructions are received from the beneficiaries or the estate's designated notary. The release of funds to beneficiaries will be contingent upon the provision of documents validating their legitimacy and identity.

Indemnification

You consent to indemnify, protect, and defend AggloPay, along with its officers, affiliates, employees, directors, and agents, from any and all damages, claims, obligations, liabilities, losses, debts, costs, or expenses that arise from your use of the Website or any violation of these Terms.

Governing Law

These Terms shall be administered by and interpreted in accordance with the Cameroonian law, without regard to its conflict of law provisions. Any dispute stem from or in association with them shall be subject to the exclusive jurisdiction of the Cameroonian courts.

Termination

AggloPay reserves the right to terminate or suspend access to the Website or any part thereof, with or without cause, at any time and without prior notice or liability.

Updates And Modifications

We reserve the privilege to adjust, suspend, or cease, temporarily or permanently, the Website or any part of it, at any time and without notice. We may also make changes to these Terms from time to time, and such changes will be effective immediately upon posting.
